Bishop Fleming’s Corporate Finance team has advised the shareholders of Motasoft, a leading UK provider of garage and workshop management software, on its sale to ClearCourse, a UK based provider of specialist software and payment solutions.
Founded in 2007, Motasoft has built a sophisticated Virtual Garage Management platform, developed from more than two decades of experience supporting the UK motor trade. Delivered as a subscription-based SaaS solution, the platform offers a comprehensive workshop management system, generating strong recurring revenue through its loyal user base of 1,200 independent garages, MOT stations and fast-fit centres across the UK.
ClearCourse provides industry-specific software and embedded payment solutions for SMEs. It aims to become the engine powering small and mid-size businesses across the UK by putting big tech solutions in the hands of founders and their growing businesses.
The acquisition of Motasoft represents a strong strategic opportunity for ClearCourse to broaden its software offering for automotive SMEs. Following the acquisition, they plan to accelerate innovation across the product, including the introduction of sector-specific AI-powered capabilities designed to further enhance productivity and insights for users.
Bishop Fleming provided lead advisory services to the shareholders of Motasoft. The deal team was led by corporate finance partner Martyn Fraser and senior manager Lindy Adams.
Andrew Burgess, Managing Director of Motasoft, said:
“This marks an exciting new chapter for Motasoft as we enter our next phase of growth, supported by ClearCourse’s scale, expertise and resources. I would like to thank the Bishop Fleming team for their invaluable support throughout the project. They brought clarity of advice, proactivity and a hands-on approach that were instrumental in bringing this transaction to a successful conclusion.”
Legal advice to the shareholders was provided by Shakespeare Martineau.
