Bishop Fleming has advised on the sale of B&A Group to Heidelberg Materials UK.

B&A Group is one of the leading construction soil and aggregate recycling companies in south west England, employing a team of 70 and specialising in the supply of recycled and primary aggregate as well as site clearance, earthworks, land remediation and sustainable land regeneration.

The acquisition of B&A Group is an example of Heidelberg Materials UK’s commitment to reaching net zero by conserving natural materials and promoting the circular economy by recycling, reusing and reducing the use of primary raw materials. The acquisition will significantly strengthen Heidelberg Materials UK’s circular offering while complementing its existing aggregate and ready-mixed concrete businesses. It adds a considerable recycling platform to its portfolio, supporting the development of innovative technologies for processing soils & construction waste and upgrading it for use in the construction cycle as a valuable material.

Clare Berkely, B&A Group Director, comments:

‘We are incredibly proud of the acquisition by Heidelberg Materials UK.  We have built an exceptional business, and this acquisition represents a significant milestone in our journey so far.  We are incredibly excited to move towards greater growth on a larger platform with our talented workforce and Heidelberg Materials UK’.

B&A Group Directors Kevin & Aidan Berkely add:

“We cannot stress enough how instrumental our dedicated team have been in helping us get to where we are today.  We want to thank all our incredible staff, management, customers, and supporters and We look forward to working with Heidelberg Materials UK during the next chapter for Bristol & Avon Group.”

Corporate Finance Partner Charles Davey commented:

“It has been a pleasure advising the shareholders of B&A Group on their successful sale to Heidelberg Materials UK. Having recently celebrated 30 years in business, joining Heidelberg Materials UK will provide the platform to further accelerate B&A’s growth in this critical sector for the UK economy and net zero transition. This transaction demonstrates Bishop Fleming’s ability to offer an integrated multi-service line approach to deliver successful succession outcomes for family businesses in the South West and Midlands.”

Managing Director of Clarke Willmott, Simon Thomas, added:

“We were delighted to be involved in this sale and to assist B&A and the Berkely family move to the next exciting chapter for the business.  The diverse nature of the group’s business led to some interesting complexities in terms of structuring the deal, so we were really pleased to be able to work with the Bishop Fleming team to navigate through these and achieve a really positive result for Kevin, Clare, Aidan and the rest of the shareholders.”

The Bishop Fleming Corporate Finance team advising the sellers on the transaction included Charles Davey, Phil Redgate and Max Armstrong, alongside a transactions tax team consisting of Chris Walklett, Linda Simmonds, Bob Bailey, Zach Annette and Naseek Hussain.

Simon Thomas and Cormac Hayes from Clarke Willmott provided legal advice to the sellers. Chris Jones and Dione Shorten of Berry Smith advised on property matters.
