Bishop Fleming advise on the sale of Acoustic Polymers

16th October 2023

Bishop Fleming has advised Acoustic Polymers on its disposal to Tiflex, part of the James Walker Group.

Gloucester based Acoustic Polymers specialises in the delivery of high performance polymeric based materials aimed predominately at acoustic signature management for subsea environmental protection. It operates at the cutting edge of acoustic materials technology, developing specialist products to the specifications of a blue-chip customer base.

Tiflex offers high performance products and systems based on advanced materials technology and engineering. It forms part of the James Walker Group, which employs circa 2,000 people and has a manufacturing and sales presence in 30 countries.

Under Tiflex ownership, Acoustic Polymers will continue to be run as an independent business servicing its existing customer base with the manufacture of specialised and bespoke items as well as developing new products, processes and materials from its site at Churcham, in Gloucestershire.

A multi-disciplinary team from Bishop Fleming helped structure and deliver the transaction. The team was led by corporate financers Martyn Fraser and Matthew Pearson, supported by tax specialist Peter Ball.

Malcolm Norris, Managing Director of Acoustic Polymers commented:

“We are delighted to be joining Tiflex, an organisation that shares our vision and approach to building lasting relationships with our clients. Their specialist manufacturing expertise will be key to delivering the next phase of our growth and I greatly look forward to working with the team in the coming years”.

Mr Norris added: “I would like to thank Bishop Fleming for their unwavering support throughout the project. They expertly guided us every step of the way and were a pleasure to work with.”

Martyn Fraser, corporate finance partner at Bishop Fleming, said:

“We were pleased to help deliver this transaction. It will enable Acoustic Polymers to deliver the massive increase in scale necessary to meet customer requirements whilst simultaneously improving the resilience of an important UK supply chain.”

Legal advice was provided by Thrings LLP.
